General Information
Company Details: North Georgia Web LLC, operating under the trade names (“North Florida Web, North Georgia Web, SiteEngine.io” “we,” “us,” or “our”), based in Destin, Florida, with contact at info@northgeorgiaweb.net.
Service Description: We provide services to customers that range from hosting and website services (including shared, VPS, and dedicated hosting, WordPress hosting, email, cloud services, website design, website leasing, digital marketing, and domain registration services, among others).
Leasing Terms
Lease Duration: Leases are month-to-month with no long-term commitment required.
Termination Policy: Clients can terminate with a 30-day written notice. There is a $199 cancellation fee if the website is canceled within the first 6 months, defined by six FULL lease payments. Upon suspension or cancellation, websites will be kept for 45 days and then re-purposed. There is a $49 reinstatement fee after suspension or cancellation. We have the right to use all non-branded copy and non-business-related images for our own use.
Ownership: Ownership CAN BE TRANSFERRED in writing after 24 consecutive months of payments. Clients must submit their request in writing by email to leasing@siteengine.io.
Renewal: Leases are automatically renewed on a month-to-month basis.
Pricing and Payment
Setup & Cancellation Fees: A one-time, non-refundable setup fee (fee varies on product) is required. A $199 cancellation fee applies if canceled in the first 6 months.
Monthly Payments: Payments are processed automatically via credit card on the first of each month through Stripe.
Late Payments: A 7-day grace period is provided; a $25 late fee is charged after the grace period.
Refund Policy: No refunds are provided for unused time or dissatisfaction once the lease period begins. The lease period begins on the customer’s approval of the website. Lease payments are prorated to begin on the first of each month. Prorated lease payments do NOT apply towards the 6-month minimum term.
Price Adjustments: Payments are guaranteed to not change for the first 24 months of a lease. Pricing adjustments require a 30-day written notice to clients.
Services Included
Maintenance: Regular updates (every lease product has different update regularity, e.g., every month, every two weeks, etc.), nightly backups, bug fixes, and plugin updates are included.
Customization: Monthly content updates are included, capped at 20 minutes per request. Time does not accrue; however, customers may combine the current month’s maintenance time with the following month’s once per year.
Support: Email and ticket-based support is included, with a typical response time of 1 business day. For Pro and Pro-Plus leasing products, phone support is included M-F 9am – 5pm CST.
Client Responsibilities
Content Submission: Clients must provide all text, images, and videos required for the website. Clients are responsible for copyright issues.
Third-Party Services: We will include subscription prices to third-party tools in the lease payment. HOWEVER, if the third-party subscription raises their prices, we may (at our discretion) alter the lease payment for the increase. This is the ONLY exception to our “24-month lease payment guarantee.”
Compliance: Clients are solely responsible for ensuring compliance with applicable laws, including ADA, GDPR, and CCPA regulations.
Intellectual Property
Ownership: SiteEngine retains ownership of the design and code until the customer pays 24 full lease payments without disruption.
Restrictions: Clients cannot resell, sublicense, or transfer the website.
Third-Party Licenses: Third-party licenses are managed by SiteEngine and included in the monthly fee.
Termination and Suspension
Non-Payment: Websites are suspended after 7 days of non-payment and terminated after 30 days.
Violations: Leases can be terminated for illegal activity, copyright infringement, or other prohibited activities. The customer is responsible for cancellation and reinstatement fees.
Data Access Post-Termination: Clients can request a copy of their data within 30 days of termination.
Limitations and Liability
Performance Guarantees: 99.9% uptime is guaranteed, excluding scheduled maintenance.
Liability: SiteEngine is not liable for indirect damages, including data loss or hacking.
Indemnification: Clients agree to indemnify SiteEngine for liabilities arising from their use of the website.
Dispute Resolution
Jurisdiction: All disputes are governed by Florida law and resolved in Florida courts located in Okaloosa County.
Arbitration: Disputes will be resolved via binding arbitration.
Miscellaneous
Modifications to the TOS: SiteEngine reserves the right to modify the TOS with 30 days’ notice.
Marketing Permissions: SiteEngine may feature completed websites in its portfolio unless clients request otherwise.
Confidentiality: Client-provided information will be kept confidential and not shared without consent.
Optional Considerations
Upsell Opportunities: Clients can upgrade their lease or purchase additional features at any time. Leases CANNOT be downgraded. If additional design work is required to upgrade, SiteEngine may charge for that design time.
Transferability: Leases are non-transferable without prior written consent from SiteEngine.
